Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Akiya Nakagawa ("Operator", "we", or "us") regarding your access to and use of the "Layer Note" application and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Account Registration

1. Eligibility: You must be at least 13 years old (or the minimum age required in your country) to use the Service.
2. Account Security: You are responsible for maintaining the confidentiality of your login credentials (e.g., Google Account authentication). You are fully responsible for all activities that occur under your account.
3. Registration Data: You agree to provide accurate, current, and complete information during the registration process.

2. Subscriptions and Payments

1. Pro Plans: Certain features of the Service are available only through paid subscriptions ("Pro Plan"). You agree to pay all fees associated with the subscription you select.
2. Payment Processing: All financial transactions are handled by our third-party payment processor, Stripe, Inc. We do not store your credit card information.
3. Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours prior to the renewal date.
4. Cancellation: You may cancel your subscription at any time through the application settings. The cancellation will take effect the day after the last day of the current subscription period. We do not provide refunds or credits for any partial subscription periods.
5. Price Changes: We reserve the right to change subscription fees upon reasonable notice. Price changes will take effect at the start of the next subscription period following the date of the change.

3. User Content and Ownership

1. Your Ownership: You retain full ownership and intellectual property rights to the notes, text, images, and other data you create, upload, or store within the Service ("User Content"). We do not claim ownership of your User Content.
2. License to Us: By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your User Content solely as necessary to provide, maintain, and improve the Service (e.g., creating backups, displaying data on your devices).
3. Responsibility: You are solely responsible for your User Content and the consequences of storing or sharing it. You affirm that you have the necessary rights to your User Content.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable national or international law or regulation.
• Store or transmit content that is illegal, harmful, threatening, abusive, or defamatory.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or related systems.

5. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE OPERATOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE OPERATOR EXCEED THE AMOUNT YOU PAID TO THE OPERATOR FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes via the Service or email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the Kobe District Court, Japan.
